CROWN CASTLE OFFERS TO YOU ACCESS TO AND USE OF ITS WEBSITE AND WEB-BASED SOFTWARE APPLICATION (COLLECTIVELY, THE "SYSTEM") EXPRESSLY CONDITIONED UPON YOUR ACCEPTANCE OF THE TERMS HEREIN WITHOUT MODIFICATION (“TERMS OF USE”). BY REGISTERING, ACCESSING, BROWSING OR USING ANY AREA WITHIN THE SYSTEM, YOU ARE ACKNOWLEDGING THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE. YOU REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO ACCEPT THESE TERMS OF USE. CROWN CASTLE MAY, AT ITS SOLE DISCRETION, CHANGE, UPDATE, AMEND OR MODIFY THESE TERMS OF USE AT ANY TIME AND WITHOUT NOTICE TO YOU, AND YOUR CONTINUED USE OF THE SYSTEM CONSTITUTES YOUR ACCEPTANCE OF SUCH MODIFICATIONS. IT IS YOUR OBLIGATION TO VISIT THIS WEBPAGE TO REVIEW ANY SUCH MODIFICATIONS. IF YOU DO NOT UNCONDITIONALLY ACCEPT THESE TERMS OF USE, YOU MAY NOT USE THE SYSTEM. HOWEVER, YOU MAY CONTINUE TO MANAGE YOUR ACCOUNT, INCLUDING ORDERING ADDITIONAL SERVICES, WITH YOUR CUSTOMER ACCOUNT MANAGER OR SALES REPRESENTATIVE. CONFLICT. In addition to being bound to these Terms of Use, you also will be bound by the terms found in your paper-based agreements, service orders and invoices for the services provided by Crown Castle to you. If there is an inconsistency between your online account information and your paper-based account information, then the latter will control. For the avoidance of doubt, all terms, including pricing, found in your paper-based documents shall control. Any term not supplied by these Terms of Use, shall be supplied by your paper-based agreement which is incorporated by reference herein. For conflicts between these Terms of Use and similar terms found in your paper-based agreement, then the terms herein shall control only for issues arising from or related to the use of the System. REGISTRATION. In order to use the System, you must request access through Crown Castle’s registration process. When you register, you will be asked to provide certain customer-specific information that will be used to verify your identity. Some accounts permit several individuals to access the account and perform functions relating to it. If you intend to authorize more than one person to access your account, then you will need to designate a "System Administrator" and assign, as appropriate, different levels of authority for those authorized to view and manage your account information. Each authorized user (each, a “Sub-User”) will be assigned a unique username and password. You are solely responsible for maintaining the confidentiality of your (and Sub-User) username, password, account information, and are responsible for all activities within your account, including Sub-Users. Crown Castle reserves the right to refuse access to this System to any individual or entity at any time for any reason and without notice. You must promptly notify Crown Castle of any breach of security of your account, including but not limited to unauthorized use of usernames and passwords. The term “you” shall include the term “Sub-User” herein. SYSTEM LIMITATIONS. YOU UNDERSTAND AND AGREE THAT THE USE OF THE SYSTEM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AS A CONVENIENCE TO CUSTOMERS OF CROWN CASTLE WITHOUT A WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CROWN CASTLE ASSUMES NO RESPONSIBILITY FOR ANY ERRORS, OMISSIONS, INACCURACIES, ISSUES PERTAINING TO QUALITY, PERFORMANCE, ACCURACY, TIMELINESS, RELIABILITY, SECURITY, DELIVERY, OR DATA STORAGE FAILURES, AND THE LIKE ARE RISKS BORNE ENTIRELY BY YOU. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THE FACE OF THESE TERMS OF USE. SYSTEM USE. The System is designed to provide you with information regarding the services that you have purchased from Crown Castle. System functionality may vary between customers and specific Sub-Users. You will not use the System in any way that is unlawful or harmful to Crown Castle, its suppliers, or any customer of Crown Castle as determined by Crown Castle in its sole discretion. You will not use the System in any manner that could damage, disable, overburden, impair or interfere with any other party's use and enjoyment of the System. Crown Castle reserves the right to investigate your use of the System in order to determine whether a violation of these Terms of Use has occurred or to comply with any applicable law, regulation, legal process or governmental request. Crown Castle reserves the right to modify, limit, suspend or discontinue your access and use of the System without notice to you at any time and without any liability from you. SPECIFICALLY PROHIBITED USES. You agree to use the System in compliance with all applicable local, state, national, and international laws, rules and regulations, and specifically agree not to, or authorize any third party to: (i) violate any applicable local, state, national or international law, regulation or rule; (ii) use the System to upload, transmit or otherwise distribute any content, including spam, that is unlawful, defamatory, harassing, abusive, imitating, false, fraudulent, obscene, inappropriate, or is otherwise objectionable as reasonably determined by Crown Castle; (iii) distribute spam, malware, viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other items of destruction or deceptive nature; (iv) transmit, distribute, sell, trade, data mine, collect, Customer center Terms of Use Rev. 10/13 Page 1 of 2 store or otherwise exploit any information, content or data on the System for any unauthorized commercial purpose or that infringes upon another party's intellectual property rights or other proprietary rights, without such owner's or licensor's permission; (v) create Sub-Users under false or fraudulent pretenses; and (vi) modify, adapt, translate, reformat, or reverse engineer any portion of the System. CONTENT IN THE SYSTEM. Crown Castle takes no responsibility for the data entered into the System by you or populated within the System. Crown Castle reserves the right to remove or refuse to distribute any content in the System, and reverses the right to access, read, preserve, and disclose any information as it reasonably believes is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request; (ii) enforce these Terms of Use, including investigation of potential violations hereof; (iii) detect, prevent, or otherwise address fraud, security or technical issues (including, without limitation, the filtering of spam); (iv) respond to user support requests; or (v) protect the rights, property or safety of Crown Castle, its users and the public. Crown Castle will not be responsible or liable for the exercise or non-exercise of its rights under these Terms of Use. LINKS. For purposes of convenience, the System may contain links to third party websites. Crown Castle makes no representations, warranties or endorsements about any third party website that may be accessed through links in the System. INTELLECTUAL PROPERTY RIGHTS. The System website, web pages, content, data, information, images, text and the like contained in the System are the exclusive property of Crown Castle. Crown Castle claims ownership, rights, titles, and interests in all such information, including any text, data, information, images, photographs, video, or other materials, that you upload, transmit or store in your account. Crown Castle reserves the right to use any such information in your account for any purpose, and without liability from you. Accordingly, you will not copy, reproduce, alter, modify, or create derivative works from the System. You also agree that you will not use any robot, spider, other automated device, or manual process to monitor or copy any content from the System. Except as expressly provided above, nothing contained herein shall be construed as conferring any license or right under any Crown Castle copyright, patent or trademark. Should you choose to respond directly to Crown Castle with comments, questions, suggestions, ideas or the like relating to the System, you agree that such information shall be deemed as non-confidential and Crown Castle shall have no obligation to respond and be free to reproduce, use, disclose and distribute the information to others without limitation, including but not limited to developing, manufacturing, and marketing products incorporating such information. PRIVACY. The use the System shall be subject to Crown Castle's Privacy Policy as it may be updated from time to time. TERMINATION; CANCELLATION. You may cancel your access to and use of the System at any time by notifying Crown Castle. Crown Castle may terminate or suspend your use of the System at any time with or without cause, including for account inactivity. In the event of termination or suspension, your account will be disabled and you will not be granted access to your account or any content contained in your account although residual copies of information may remain in the System. LIABILITY LIMITATION. CROWN CASTLE SHALL NOT BE LIABLE TO YOU (INCLUDING YOUR SUB-USERS) FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, MULTIPLE OR PUNITIVE DAMAGES, THIRD PARTY CLAIMS, LOSS OF REVENUES, LOSS OF PROFITS OR LOSS OF SAVINGS EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE FORM IN WHICH ANY ACTION IS BROUGHT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), FUNDAMENTAL BREACH, BREACH OF WARRANTY OR ANY OTHER STATUTE OR COMMON LAW THEORY OF RECOVERYARISING FROM OR IN ANY WAY RELATED TO THESE TERMS OF USE AND / OR USE OF THE SYSTEM. IF YOU HAVE ANY DISPUTE OR CLAIM WITH OR AGAINST CROWN CASTLE, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SYSTEM; OTHERWISE, ALL LEGAL PROCESSES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR IS PERMANENTLY BARRED. INDEMNIFICATION. You (and your Sub-Users) agree to indemnify, defend and hold harmless Crown Castle, and its affiliates, officers, agents, employees and suppliers from and against any third party claim arising from or in any way related to your use of the System, including any liability or expense arising from all claims, losses, damages, suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such as case, Crown Castle will provide you with a written notice of such claim, suit or action. CHOICE OF LAW. These Terms of Use will be governed by and constructed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to its conflict of law provisions. Any claims, legal proceeding or litigation arising in connection with these Terms of Use will be brought solely in the Commonwealth of Massachusetts, and you expressly consent to the jurisdiction of all such courts. Customer's use of the Crown Castle Business Center is subject to, and governed by, Customer's Agreement with Crown Castle (including any Master Services Agreement and Service Order Forms), Crown Castle Terms of Use, Crown Castle Acceptable Use Policy, and Crown Castle Privacy Policy.
